Capillary Technologies promoter sells 4.14% stake for ₹171 crore

SUMMARY

Capillary Technologies Pte Ltd is the promoter of software-as-a-service company Capillary Technologies. Capillary Technologies has offloaded a 4.14% equity stake in the company. The stake sale was carried out as a bulk deal listing at the Bombay Stock Exchange (BSE). The official exchange disclosures state that the promoter entity sold a total of 32.92 lakh shares in the transaction.

Financial performance and quarterly operating revenue growth

The shares were executed at a price of ₹520.86 per share. This transaction pricing makes the combined value of the stake sale approximately ₹171.50 crore. Capillary Technologies Pte Ltd had a 48.92% equity stake in Capillary Technologies before this bulk deal transaction. The sale represents a significant change in the holding pattern of the promoter and adds to the liquidity in the open market.

This is a significant divestment on the part of the promoter entity following the financial performance of the company. Interim results for the first half of the financial year 2027 (Q1 FY27) were released recently by Capillary Technologies.

There is a positive growth in the top-line performance of the company during this quarter, as the company has witnessed a year-over-year growth of 42.6% in the operating revenues. The operating revenue of Capillary Technologies during Q1 FY27 was ₹256.6 crore. It was ₹180 crore in Q1 FY26.

Although the operating revenue growth has been strong for the quarter, the numbers have been disturbed by non-recurring items. Capillary Technologies recorded losses in Q1 FY27. The loss of ₹33.4 crore was the major reason behind this loss in profitability. The unusual loss was a direct result of a cyber-enabled banking fraud incident at the company’s subsidiary in the Czech Republic.

Corporate profile and positive trading

Capillary Technologies is a cloud-native software solutions provider and provides software solutions across loyalty programs, customer relationship management (CRM), and customer engagement systems.

The SaaS enterprise has grown its operations internationally over the years. Today, the firm markets its technologies to over 465 technology brands worldwide and domestically in 53 countries. It serves major enterprise brands like Tata Digital, Aditya Birla Fashion and Retail, Abbott Laboratories, among others.

Positive trading momentum for the company followed after the details of the bulk deal were released. Capillary Technologies rose 1% to ₹526.8 a share on the exchange. The total market cap of Capillary Technologies at this trading level is ₹4189 crore (approximately $441 million).

Conclusion

The offloading of a 4.14% stake by the promoter entity Capillary Technologies Pte Ltd for ₹171.50 crore is a major move by Capillary Technologies. The company maintains strong top-line operational growth with revenue growth of 42.6% to ₹256.6 crore in Q1 FY27, but short-term bottom-line pressure comes from a cyber fraud exception loss of ₹33.4 crore at its Czech subsidiary. The SaaS business operates in 53 countries around the world, serves over 465 brands globally, and has a market valuation of ₹4,189 crore.
