This transaction also involves several other institutional investors, family offices, and individual angel investors. The strategic financing has come immediately after Sarvam AI received $234 million in an investment round led by HCL Technologies. The earlier investment was especially important for Sarvam AI, marking the company’s transition to unicorn status in the tech industry.  

With this milestone extension, the startup’s financial growth continues to build on that huge round. Official regulatory documentation documents the formal process for this equity infusion. Submissions made by Sarvam AI to the Registrar of Companies stated that the board passed a special resolution to endorse the financial arrangement. 

The board authorized the issuance of 20,244 Series B preference shares and 7 equity shares. Each share of this issuance is assigned a fixed issue price set at ₹3,44,570 per share. The precise allocation of equity and preference shares is supposed to raise ₹698 crore (approximately $74 million) in capital for Sarvam AI.

The investor participation includes a pledge of ₹238 crore ( approximately $25 million) by NVIDIA Corporation, reflecting high institutional interest. Glade Brook Capital is another major investor contributing ₹190.3 crore (approximately $20 million). Gaja Capital is also contributing ₹95 crore to the fundraising, while investors Sanjay Kalra and Jyotika Kapoor are putting in ₹50 crore. 

Financing round participation from well-known angels and family offices Vrijesh Agarwal, KJ Trust, and AL Trust round out the financing round. This investment follows reports from March by the financial information firm, Moneycontrol, that NVIDIA, Glade Brook, and other potential backers were involved in talks to invest in Sarvam AI.

Post-money valuation and core operations

This extra capital will have a substantial impact on the full market value of Sarvam AI and on the internal distribution of ownership. Entrackr’s review and financial assessment puts the company’s estimated post-money valuation at around ₹14,342 crore (approximately $1.51 billion). The ownership structure of Sarvam AI will be adjusted formally after this official allotment of shares.

NVIDIA Corporation, a global leader in semiconductors, will acquire a 1.66% stake in the enterprise through its primary investment of $25 million. Glade Brook Capital will own 1.33% of the company after making the $20 million investment. These additional preference and equity shares will lead to a corresponding reduction in the proportion of existing shares held. 

The holding of the earlier investor HCL Technologies will be reduced to a 9.95% equity stake. The company will still have a considerable degree of strategic control, as the founders’ combined total interest in the company represents 38.44% despite the addition of the major global institutions.
