SUMMARY

Livspace Expands into the Lighting Sector with Strategic Acquisition

Livspace, a prominent player in home interiors and renovation, has taken a significant  step forward by acquiring a majority stake in Mumbai-based LED lighting manufacturer  Abby Lighting. This acquisition not only marks Livspace’s entry into the specialised lighting market but also aligns with its overarching goal of providing comprehensive  home solutions to its customers.

The acquisition of Abby Lighting is structured as a cash-and-stock deal valued at  approximately ₹204 crore (around $23 million). Out of this total, ₹173 crore has been  paid in cash, while the remaining ₹31 crore has been facilitated through a share swap  arrangement.

As part of this share swap, Abby Lighting’s co-founders, Sanjay Bajaj and Suresh Bajaj,  will receive 4,11,274 equity shares of Livspace, which represents about 0.31 percent  ownership in the company. This arrangement ensures that the founders remain  committed to the long-term growth of the business.

Abby Lighting to Operate Independently

Livspace has made it clear that this acquisition is a strategic initiative aimed at  enhancing its product offerings, rather than changing the current operations of Abby  Lighting. The existing management team and promoters of Abby Lighting and

Switchgears will continue to oversee the company, ensuring that business operations  remain stable.

A spokesperson for Livspace commented, “This investment aligns with our vision to  provide a broader range of solutions to our customers. Abby Lighting’s leadership will  continue to manage the business independently.”

About Abby Lighting and Its Expertise

Founded in 2000, Abby Lighting is renowned for its LED and architectural lighting  solutions tailored for residential, commercial, and industrial applications. The company  is celebrated for its customised, energy-efficient lighting products, along with  complementary switchgear solutions.

Abby Lighting operates from a state-of-the-art design and manufacturing facility that  spans over 85,000 square feet in Palghar, Maharashtra. Its expertise in bespoke lighting  solutions adds a valuable dimension to Livspace’s offerings in home décor and  renovation.

Livspace’s Growth Strategy Through Acquisitions

With the backing of global furniture giant IKEA, Livspace has been actively expanding its  ecosystem through strategic acquisitions. The acquisition of Abby Lighting marks the  fifth such deal for the company.

Previously, Livspace acquired Qanvast, YoFloor, Dwll.in, and DezignUp, enhancing its  capabilities in design discovery, flooring, home renovation, and professional services.  The addition of Abby Lighting further strengthens Livspace’s control over essential elements of home interiors.

Positive Financial Performance Indicates Growth

For the financial year ending March 2025, Livspace has reported impressive growth,  with operating revenue increasing by 23 percent year-on-year to ₹1,460 crore, up from  ₹1,185 crore the previous year. Additionally, the company has significantly improved its  financial health, reducing losses by 42 percent to ₹242 crore.

Advancing the Vision for Comprehensive Home Solutions

Through this acquisition, Livspace aims to integrate lighting more effectively into its  interior design and renovation services. By incorporating specialised lighting expertise  into its ecosystem, the company is positioning itself as a holistic home solutions  provider, covering everything from design and furniture to lighting and execution.

The deal with Abby Lighting highlights Livspace’s ambition to create a fully integrated  platform for India’s rapidly expanding home improvement market.
