Quadria Capital-backed Nobel Hygiene officially filed DRHP with SEBI to secure funds through IPO
SUMMARY
Nobel Hygiene Ltd., a homegrown manufacturer of absorbent hygiene products, backed by Quadria Capital. Nobel Hygiene Ltd. has filed the draft document with the market regulator SEBI for raising funds through an IPO. The public offer proposed is a combination of a fresh issue of shares and an Offer-for-Sale.
Breakdown of the Offer-for-Sale and expansion strategy
The structure of the IPO as detailed in the preliminary prospectus issued on Thursday involves a fresh issue of equity shares worth up to ₹150 crore. In parallel with this primary sale, the capital raise also includes an Offer-for-Sale (OFS) of up to 1.55 crore equity shares. The secondary transaction segment will enable the current shareholders or promoters of the company and other early investors to sell a portion of their shares in the company.
The Offer-for-Sale feature of the public issue is a mechanism for key shareholders to sell or reduce their holdings in Nobel Hygiene Ltd. Kamal Kumar Johari and Kamini Kamal Johari are among the promoter group dealing with the sale of shares via an OFS. Their investment in the equity sale underscores a progressive approach towards reducing promoter holdings and incorporating the company into a listed corporate structure.
In addition to the promoter group, several major institutional and venture investors are participating in the secondary sales of the initial public offer. The entities that have been identified in the prospectus filing include Orbit Investment Holdings and Sixth Sense India Opportunities III, and Bennett Trading LLP. These institutional supporters, along with the main promoter group, will also be selling an equity stake in the maximum total allotment of 1.35 crore equity shares.
Nobel Hygiene Ltd has been clear in its financial course with capital raised through the fresh issue of up to ₹150 crore. One of the main goals of using the proceeds is to pay down existing debt, which is expected to lower the company’s overall debt-to-equity ratio and enhance its financial position. Strategic capital deployment will be made through investment in its corporate subsidiary, ‘Nobel Hygiene Baroda Pvt Ltd.’, a portion of the capital.
The capital deployment strategy also involves a significant commitment of resources towards the expansion of manufacturing infrastructure at Halol in Gujarat. The industrial development involves establishing a specific manufacturing and warehousing block to enable efficient operation.
The company plans to use this production capacity expansion to equip a brand-new adult diaper manufacturing line. The proceeds of the fresh issuance shall be used for general corporate purposes related to ongoing operations and growth efforts, to the extent funds remain after covering the costs of the issuance.

Conclusion
The draft prospectus submitted to SEBI denotes that Nobel Hygiene’s business is moving toward the Public Company format and is scaling up production in India. The company will use the fresh investment to reduce debt and build new manufacturing facilities in Gujarat to consolidate its market position in the adult, baby, and women’s health care segments.
With an extensive distribution network in 31 states and a significant export business, the proposed IPO will be a structured pathway for realignment of promoters and participation of institutional investors and will help fund the long-term corporate infrastructure of the company.
