Atomberg Technologies has made a major move towards its listing in the stock market by filing a draft red herring prospectus with the securities market regulator, the Securities and Exchange Board of India (SEBI). It is a widely known company in the consumer market for its energy-efficient brushless direct current motor ceiling fan product line and other household fan appliances, drawing capital through a first initial public offering that includes a fresh stock sale and also a share sale from existing shareholders.

Proposed IPO structure and capital raise

The proposed sale (IPO) is a fresh offering of equity shares valued at ₹450 crore and includes an offer for sale of up to 7.65 crore shares from early bookrunners and institutions. Under the offer for sale, shareholders will be indemnified against a portion of their investment in the enterprise.

A91 Partners, a prominent venture capital firm, is likely to sell the highest stake with 3.77 crore shares. Other major shareholders involved in the offer for sale are Temasek-backed V-Sciences Investments, which is offering to sell 1.22 crore shares, and JV4, a subsidiary of Jungle Ventures, offloading 99.46 lakh shares. 

Inflexor Ventures, through its two funds, the Inflexor Opportunities Fund I and Inflexor Technology Fund, will offload 87.9 lakh shares, while Steadview Capital Mauritius and Survam Partners plan to sell 45.38 lakh and 33.18 lakh shares, respectively.

Ahead of filing its final prospectus with the market regulator, Atomberg has also received shareholder approval to conduct a pre-IPO placement of equity shares to raise up to ₹90 crore. With this pre-IPO round being executed successfully, the total value raised in this round would reduce the fresh issuance size by ₹450 crore.

The main capital raised through the fresh issue will head towards strategic growth, brand building and debt management, claiming the ₹450 crore cap. Atomberg plans to allocate ₹90 crore from the net proceeds to pre-payment or repayment of certain outstanding loans to consolidate its balance sheet.

The company has a dedicated budget of ₹150 crore for marketing specific to expanding its consumer market footprint solely for the purpose of performance marketing and overall brand awareness building. 

Considering the need for technological differentiation in consumer electricals, Atomberg has also dedicated ₹100 crore to research and development initiatives. The balance of pecuniary value raised on fresh issue would be applied to general corporate expenses.

Financial performance and shareholding pattern

Through the years, Atomberg has acquired a strong market share in the premium ceiling fan segment with brushless direct current technology and gradually diversified its product line into smart home products like mixer grinders, water purifiers, juicers and smart door locks. 

In addition to consumer sales, its subsidiary Atomberg Innovations is a manufacturer and supplier of high-tech motors and controllers for industrial partners such as Godrej, Voltas and Blue Star.

According to regulatory filings, A91 Partners has the largest equity stake in Atomberg, with a 21.02% stake. Co-founder Manoj Kumar Meena owns a 17.73% stake, and Sibabrata Das’ management owns a 10.02% stake.

Institutional investors include V-Sciences Investments (11.85%), Jungle Ventures (10.03%), Steadview Capital (7%), Jonsong Investments, a subsidiary of Temasek (6.98%), and Inflexor Ventures (6.08%).

In the years ahead of the public listing, Atomberg has established a strong top-line growth trend. For FY26, the company posted a revenue from operations growth of 34.8%, to ₹1,293.77 crore from ₹959.51 crore in FY25.

In the premium fan segment, it held a dominant position and reportedly accounted for 46.08% of the market share by cumulative sales value as of FY26 in this segment. 

Its sales are handled through its own e-commerce website, online marketplace partners like Flipkart and Amazon, and a growing distribution network in urban centres.

Conclusion

The decision of Atomberg Technologies’ draft papers for a ₹450 crore fresh issue is a crucial step in the growth of India’s direct-to-home and smart home appliance industry.
